I Name, registered office and purpose
Art. 1 Denominazione
1 In accordance with Articles 60 et seq. of the Swiss Civil Code and this statute, an association named Associazione PeP is hereby established.
2 Its duration is unlimited and it is non-profit.
Art. 2 Registered office
The association has its registered office at the place of residence of a member of the Coordination collective, chosen collegially by the Coordination collective itself.
Art. 3 Purpose
The purpose of the association is to organize, fund and carry out leisure activities and holidays accessible to all people with disabilities, in order to promote social inclusion and the well-being of the persons involved.
II Funding
Art. 4 Means of financing
The association’s means of financing are as follows:
a. Membership contributions;
b. Contributions from benefactors;
c. Income from the organisation of events;
d. Grants and subsidies;
e. Fundraising activities and sales;
f. Donations of any kind.
Art. 5 Membership contributions
1 Membership contributions are set by the Assembly of the members. Honorary members and members of the serving Coordination collective are exempt from paying the contributions.
2 The financial year corresponds to the calendar year.
III Organisation
Art. 6 Governing bodies of the association
The bodies of the association are:
a. The Assembly of the members;
b. The Coordination collective;
c. The Accounting review body.
IV Assembly of the members
Art. 7 Assembly of the members
1 An ordinary Assembly of the members must be held annually within six months of the end of the financial year.
2 Members are convened in writing to the Assembly of the members with at least 30 days’ notice, with the agenda attached. Convocations sent by e-mail are also considered valid.
3 Proposals by members concerning additional items to be discussed at the Assembly of the members must be submitted to the Coordination collective in writing, with appropriate justification, at least 10 days in advance.
4 An extraordinary Assembly of the members can be convened at the request of one-fifth of the members and upon the convening of at least two members of the Coordination collective.
5 All Assemblies are duly constituted regardless of the number of members present.
Art. 8 Members’ responsibilities
1 The association’s financial obligations are guaranteed solely by its assets. The personal responsibility of members is excluded.
2 Members are required to pay an annual contribution set by the Assembly of the members.
3 Any person who ceases to be a member remains liable for the contribution for the current financial year.
Art. 9 Voting rights
Each member has one vote; decisions are taken by an absolute majority of the votes of members present, as well as of those absent who have communicated their vote in writing to the Coordination collective at least 24 hours in advance.
Art. 10 Admission of members
1 Any natural or legal person may become a member. A written membership request is required..
2 The Assembly of the members may refuse admissions without stating its reasons.
Art. 11 Termination of membership and exclusion
1 Members must submit their resignation, in writing, to the Coordination collective no later than the 31st of December.
2 Resignations submitted during the year do not release the member from the obligation to pay the membership fee for the current financial year.
3 A member may be excluded from the association at any time, even without an obligation to provide stated reasons. The Coordination collective decides on exclusion with the agreement of at least two-thirds of its serving members.
V Coordination collective
Art. 12 Coordination collective
1 The Coordination collective represents the Associazione PeP as the body acting on behalf of the Assembly of the members. It implements the decisions taken by the Assembly of the members. and ensures compliance with the statute. It is responsible for the association’s activities and manages funding and assets.
2 The Coordination collective decides on the admission of new members of the collective with the agreement of two-thirds of its serving members.
3 Resolutions may also be adopted in forms other than an in-person meeting, unless an in-person meeting is explicitly requested by a member of the Coordination collective.
4 Members of the Coordination collective may resign by written communication to the remaining Coordination collective members, with at least six months’ notice.
5 The Coordination collective may exclude one of its members with the agreement of two-thirds of its serving members.
VI Accounting review
Art. 13 Accounting review body
The Coordination collective appoints two members as internal accounts auditors, tasked with reviewing the accounts and submitting a report to the next ordinary Assembly of the members.
VII Final and transitional regulations
Art. 14 Internal regulations
The Coordination collective may adopt internal regulations to govern practical and day-to-day aspects.
Art. 15 Termination
The termination of the association may be decided by an Assembly of the members convened expressly for this purpose. Termination requires the agreement of at least two-thirds of those entitled to vote.
Art. 16 Liquidation
Any assets remaining after the termination of the association shall be allocated to another association with a similar purpose.
Art. 17 Entry into force
The present statute was adopted by the Constituent assembly on April 19, 2025, at the municipality of Porza.
